PLEASE READ THIS END USER LICENSE AGREEMENT AND DISCLAIMER OF LIABILITY CAREFULLY BEFORE INSTALLING THE SOFTWARE PRODUCT (TEO COMPONENT). IF YOU DO NOT AGREE WITH THIS END USER LICENSE AGREEMENT OR DISCLAIMER OF LIABILITY, THEN DO NOT USE OR COMPLETE THE INSTALLATION OF THE TEO COMPONENT.
END USER LISCENSE AGREEMENT
TERMS AND CONDITIONS
The parties, intending to be legally bound, agree as follows:
1.0. TERMS AND CONDITIONS OF USE OF THE SOFTWARE PRODUCT (TEO COMPONENT). (TEO COMPONENT) refers to the SWC product file, not a SWF application file.
1.1. This End User License Agreement for the Software Product (Teo Component) is a legal agreement between you and Teoti Graphix, LLC. By installing and using (no formal signature is required) this Software Product (Teo Component), you agree that you have read, understand, and accept the terms and conditions set forth in this End User License Agreement and agree to be bound by the terms thereof as set forth herein.
1.2. This End User License Agreement gives you a limited license to use the Software Product (Teo Component). Teoti Graphix, LLC retains all right, title, and interest, including all copyright, trademark, trade secret, and intellectual property rights, in and to the Software Product (Teo Component) as an independent work and as an underlying work serving as a basis for any application you may develop, and all copies thereof. All rights not specifically granted and set out in this End User License Agreement, including but not limited to any and all Federal and International copyrights, are reserved by Teoti Graphix, LLC.
1.3. The Software Product (Teo Component) can be installed on one computer and used by one developer within your company.
1.4. You may install the Software Product (Teo Component) on a laptop if such laptop is used exclusively by the same developer. The second copy is not to be used at the same time as the copy of the Software Product (Teo Component) on the primary computer.
1.5. The Software Product (Teo Component) cannot be installed, shared, or used concurrently on different computers.
1.6. You are not allowed to electronically transfer, make, or distribute copies of the Software Product (Teo Component).
1.7. Installation on a network server is strictly prohibited under the terms and conditions of this End User License Agreement. You will need to purchase additional licenses for each computer to which the Software Product (Teo Component) will be distributed.
1.8. You are required to purchase additional licenses for each computer for which the Software Product (Teo Component) will be used.
1.9. The limited license to use the Software Product (Teo Component) for which you are being granted under the terms and conditions of this End User License Agreement are non-transferable and are to be used only within your company.
1.10. The reselling by you or anyone within your company of the limited license to use the Software Product (Teo Component) for which you are being granted under the terms and conditions of this End User License Agreement is strictly prohibited.
1.11. End users of your application are strictly prohibited from redistributing the Software Product (Teo Component).
1.12. You hereby agree not to modify, translate, reverse engineer, decompile, or disassemble the Software Product (Teo Component) or any part thereof or otherwise attempt to derive source code or create derivative works therefrom.
1.13. Teoti Graphix, LLC makes no warranty, either express or implied, that:
1.13.1. The Software Product (Teo Component) will meet your specific requirements. You hereby agree you have read and understand the Software Product (Teo Component) features and capabilities. Products cannot be exchanged, returned, or refunded in any manner.
1.13.2. The Software Product (Teo Component) is bug free, error free, or results obtained from the use of the Software Product (Teo Component) will be effective, accurate, or reliable for your particular use. Bugs should be reported to Teoti Graphix, LLC and if and when possible will be remedied by Teoti Graphix, LLC. Teoti Graphix, LLC reserves the right to distribute product updates.
1.14. It is possible that documentation could include technical or other mistakes, inaccuracies, or typographical errors. Teoti Graphix, LLC may make changes to the documentation and updates will be found in the Software Product (Teo Component) On-Line Help Book.
1.15. Teoti Graphix, LLC assumes no liability for errors or omissions in the Software Product (Teo Component), documentation, Forum Boards, Blog, or any other information available from this Web Site (teotigraphix.com).
1.16. No advice or information, express or implied, obtained from the Forum Boards or Web Site of Teoti Graphix, LLC (teotigraphix.com) shall create any warranty, express or implied, for the Software Product (Teo Component).
2.0. ENTIRE AGREEMENT
2.1. This End User License Agreement contains the entire agreement among the parties concerning its subject matter, and it replaces all other agreements among them, whether written or oral, concerning this subject matter. Any representation, promise, or condition in connection with any item contained in this End User License Agreement which is not incorporated in this End User License Agreement shall not be binding upon Teoti Graphix, LLC. No modification, renewal, or extension of this End User License Agreement shall be binding upon Teoti Graphix, LLC unless made in writing and signed by the manager of Teoti Graphix, LLC.
3.0. GOVERNING LAW
3.1. This End User License Agreement shall be governed by and construed in compliance with the domestic laws of the State of New Hampshire without giving effect to any choice-of-law or conflict-of-law provision or rule (whether of the State of New Hampshire or of any other jurisdiction) that would cause the application of the laws of any jurisdiction except the State of New Hampshire. Any application of any applicable Federal law shall be done in such a way as to give full weight to the law of the State of New Hampshire to the fullest extent possible. The forum for the resolution of any dispute arising from this End User License Agreement shall be the courts of New Hampshire.
4.0. INDEMINIFICATION
4.1. You agree to indemnify Teoti Graphix, LLC for any and all losses, including but not limited to lost profits or attorney fees, Teoti Graphix, LLC may suffer due to any purposeful conduct on your part in material breach of any of the terms and conditions set out in this End User License Agreement that causes a loss or legal problem for Teoti Graphix, LLC or due to any conduct on your part that you should have known would be in material breach of any of the terms and conditions set out in this End User License Agreement that causes a loss or legal problem for Teoti Graphix, LLC.
5.0. SIGNATURES AND DATES
5.1. In witness of their acceptance of the above terms and conditions of this End User License Agreement, the parties, by themselves or by their duly authorized representatives, have AGREED TO BE BOUND by all of the terms and conditions of this END USER LICENSE AGREEMENT by "installing and using" this Software Product (Teo Component). No formal signature is required in order to be bound by all the terms and conditions of this End User License Agreement.
